Official Warranty Policy

Unless otherwise agreed in writing, if your (“Buyer”) sales contract with Seller expressly states that Seller’s Official Warranty Policy applies to your purchase, then the following warranty policy shall apply. Buyer and Seller may agree to alter the terms of this warranty policy only in a written agreement signed by both parties.
1. Warranty Coverage
Seller warrants to the Original Buyer (defined below) only that under conditions of proper, non-negligent installation, operation, and maintenance, the Equipment (as that term are defined in the applicable sales contract between Buyer and Seller) shall be free from defects in materials and workmanship that, under normal use, materially impair the operation of the Equipment and shall materially conform to the performance descriptions, specifications, and design basis stated in Seller’s approved, official documentation relating to the Equipment (the “Warranty”).
2. Warranty Period
The Warranty period shall be twelve (12) months from the date on which the Equipment has shipped from Seller’s facility.
3. Performance Condition
As stated above, this Warranty applies only under conditions of proper, non-negligent installation, operation, and maintenance, meaning the Equipment must be:
- Operated within the stated design limits for pressure, temperature, flow, and chemical service,
- Installed, operated, and maintained in accordance with Seller’s instructions and manuals, and
- Used for the intended service described in Buyer’s and Seller’s sales contract or within Seller’s approved, official documentation relating to the Equipment.
No warranty is made for performance outside the design basis or operating conditions stated in Buyer’s and Seller’s sales contract or within Seller’s approved, official documentation relating to the Equipment.
4. Seller’s Obligation
Seller’s sole obligation under this Warranty, and Buyer’s exclusive remedy, shall be at Seller’s option to:
- Repair the defective portion of the Equipment,
- Replace the defective portion, or
- Issue credit for the defective portion of the Equipment.
All warranty work shall be performed F.O.B. Seller’s facility, unless otherwise agreed in writing. To be clear, shipping the Equipment to Seller’s facility for warranty work shall be Buyer’s responsibility and at Buyer’s cost and arranging for a return of Equipment to Buyer from Seller’s facility shall be Buyer’s responsibility and at Buyer’s cost.
5. Conditions of Warranty
Buyer must notify Seller in writing of any claimed defect during the warranty period within ten (10) business days of its discovery of the defect.
This Warranty is void if, without Seller’s prior written approval, the Equipment has been altered or modified in any way, misused, improperly installed, or operated in a manner inconsistent with the design basis and operating conditions stated in Buyer’s and Seller’s sales contract or within Seller’s approved, official documentation relating to the Equipment.
6. Exclusions
Without limiting the generality of the foregoing limits, conditions, and exclusions, this Warranty does not apply to:
- Normal wear and tear or consumable items (including seals, gaskets, filters, and tubing),
- Corrosion, erosion, or degradation due to chemical incompatibility or process conditions,
- Damage caused by misuse, abuse, negligence, or improper operation,
- Failures caused by Buyer-supplied utilities, chemicals, or third-party equipment, or
- Equipment repaired or modified by others without Seller’s authorization.
7. Non-Transferability
This Warranty is non-transferable and applies only to the Original Buyer. The Original Buyer is defined as the person or entity with whom Seller has a sales contract for the Equipment. Any sale, assignment, relocation, or transfer of the Equipment without Seller’s written consent shall immediately void this Warranty.
8. Limitation of Liability
Seller shall not be liable for incidental, indirect, or consequential damages, including loss of production or profits, arising from or relating to any defect in the Equipment covered by this Warranty. Seller’s total liability under this Warranty shall not exceed the purchase price of the Equipment.
9. Exclusive Warranty
This Warranty is the sole and exclusive warranty applicable to the Equipment. To the fullest extent allowed under applicable law, all other warranties, express or implied, statutory or otherwise, including warranties of merchantability and fitness for a particular purpose, as well as any warranties relating to design, capacity, or performance, are expressly disclaimed.
